1. Scope of Application
These Terms and Conditions (T&C) apply to all contracts between

and the clients.

The T&C apply to bookings and contracts concluded via the website www.blooming-souls.com, via an online booking system, as well as for individually agreed contracts concluded by e-mail, telephone, or written agreement (particularly for corporate services).

Deviating or supplementary agreements are only valid if confirmed in writing.

2. Services
Blooming Souls provides, in particular, the following services:

  • Breathwork sessions (online and offline)
  • Programs and courses (e.g., 12-week programs)
  • Workshops and retreats
  • Coaching and psychological counseling (no psychotherapy, no medical treatment)
  • Corporate breathwork services for companies
  • Digital products (e.g., videos, audios, PDFs, online courses)

The specific scope of services is determined by the respective service description.

3. Conclusion of Contract

  1. Bookings are made via the online booking system or in writing by e-mail.
  2. By completing the booking process, clients submit a binding offer.
  3. The contract is concluded upon confirmation of the booking.

4. Prices and Payment Terms

  • Private clients (B2C): Prices include the applicable Portuguese VAT (IVA), unless expressly stated otherwise.
  • Business clients (B2B) within the EU (excluding Portugal): For services provided to entrepreneurs with a valid VAT identification number, invoicing is made net under the reverse-charge procedure. The tax liability is transferred to the recipient of the service.
  • Business clients based in Portugal: The applicable Portuguese VAT (IVA) will be charged.
  • Clients outside the European Union: Invoicing is made net, provided the service is tax-exempt under applicable law.

Payments are made via the payment methods offered in the booking system (e.g., Stripe, credit card).
For digital products, the invoice amount is due immediately.
For corporate clients, different payment terms may be agreed individually.

5. Cancellations and Rebookings

a) Group sessions (online/offline)
Rebookings are possible up to 4 hours before the start. In case of later cancellation or no-show, the booking expires and no refund will be made.

b) 1:1 sessions (individual sessions)
Cancellations or rebookings are possible up to 24 hours before the start. In case of later cancellation or no-show, the full fee will be charged, and no refund will be made.

c) Events, workshops, and retreats

  • Cancellation up to 14 days before the start: refund minus processing fee.
  • Cancellation 13–7 days before the start: 50% refund.
  • Cancellation less than 7 days before the start or no-show: no refund.
  • Transfer of the ticket to another person is possible but must be communicated in advance.
  • For retreats or special events with external partners (e.g., accommodation, catering), different cancellation policies may apply. These are specified in the respective event description or in the individual contract.

d) Corporate bookings (Corporate Breathwork)
The individually agreed cancellation and payment terms apply as specified in the respective offer or contract.

6. Right of Withdrawal
For consumers, the statutory right of withdrawal applies in accordance with the Withdrawal Policy.

The right of withdrawal is excluded or expires prematurely for:

  • Digital content, once the execution has started and the client has expressly agreed.
  • Services (sessions, programs, events), once the service has been fully provided and the client has expressly agreed.
  • Individually created services (e.g., tailored coaching packages).

Business clients (B2B) have no right of withdrawal.

7. Health and Liability Waiver

  1. Participation in breathwork sessions is at the participant’s own responsibility.
  2. Clients confirm prior to participation that they have read and accepted the Health and Liability Waiver.
  3. Breathwork does not replace medical or psychological treatment.
  4. Blooming Souls – Stefanie Geibel Haxel accepts no liability for health-related, psychological, or physical consequences, except in cases of intent or gross negligence.

8. General Liability

  1. No liability is accepted for slight negligence, except in the case of breaches of essential contractual obligations.
  2. No liability is accepted for indirect or consequential damages (e.g., loss of profit).
  3. Liability is in any case limited to the amount paid by the client.

9. Data Protection
Personal data is processed exclusively in accordance with statutory provisions.

10. Copyright
All content provided by Blooming Souls (texts, audios, videos, PDFs, course materials) is protected by copyright.
Use is only permitted within the scope of the agreed contract.
Any distribution, publication, or reproduction is prohibited.

11. Contract and Communication Language
The contract language is German or English.

12. Dispute Resolution
The European Commission provides a platform for Online Dispute Resolution (ODR): https://ec.europa.eu/consumers/odr.
We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.

13. Governing Law and Jurisdiction
Portuguese law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
The place of jurisdiction is Lisbon, Portugal, insofar as legally permissible.
