Andar<br \/>1170-245 Lisbon<br \/>Portugal<br \/>E-Mail: contact@blooming-souls.com<\/span><\/p><p class=\"p2\"><span class=\"s1\">and the clients.<\/span><\/p><p class=\"p2\"><span class=\"s1\">The T&amp;C apply to bookings and contracts concluded via the website <a href=\"http:\/\/www.blooming-souls.com\/\"><span class=\"s2\"><b>www.blooming-souls.com<\/b><\/span><\/a>, via an <b>online booking system<\/b>, as well as for individually agreed contracts concluded by <b>e-mail, telephone, or written agreement<\/b> (particularly for corporate services).<\/span><\/p><p class=\"p2\"><span class=\"s1\">Deviating or supplementary agreements are only valid if confirmed in writing.<\/span><\/p><p class=\"p2\"><span class=\"s1\"><b>2. Services<\/b><br \/>Blooming Souls provides, in particular, the following services:<\/span><\/p><ul class=\"ul1\"><li class=\"li2\"><span class=\"s1\">Breathwork sessions (online and offline)<\/span><\/li><li class=\"li2\"><span class=\"s1\">Programs and courses (e.g., 12-week programs)<\/span><\/li><li class=\"li2\"><span class=\"s1\">Workshops and retreats<\/span><\/li><li class=\"li2\"><span class=\"s1\">Coaching and psychological counseling (no psychotherapy, no medical treatment)<\/span><\/li><li class=\"li2\"><span class=\"s1\">Corporate breathwork services for companies<\/span><\/li><li class=\"li2\"><span class=\"s1\">Digital products (e.g., videos, audios, PDFs, online courses)<\/span><\/li><\/ul><p class=\"p2\"><span class=\"s1\">The specific scope of services is determined by the respective service description.<\/span><\/p><p class=\"p2\"><span class=\"s1\"><b>3. Conclusion of Contract<\/b><b><\/b><\/span><\/p><ol class=\"ol1\"><li class=\"li2\"><span class=\"s1\">Bookings are made via the online booking system or in writing by e-mail.<\/span><\/li><li class=\"li2\"><span class=\"s1\">By completing the booking process, clients submit a <b>binding offer<\/b>.<\/span><\/li><li class=\"li2\"><span class=\"s1\">The contract is concluded upon confirmation of the booking.<\/span><\/li><\/ol><p class=\"p2\"><span class=\"s1\"><b>4. Prices and Payment Terms<\/b><b><\/b><\/span><\/p><ul class=\"ul1\"><li class=\"li2\"><b><\/b><span class=\"s1\"><b>Private clients (B2C):<\/b> Prices include the applicable Portuguese VAT (IVA), unless expressly stated otherwise.<\/span><\/li><li class=\"li2\"><b><\/b><span class=\"s1\"><b>Business clients (B2B) within the EU (excluding Portugal):<\/b> For services provided to entrepreneurs with a valid VAT identification number, invoicing is made <b>net under the reverse-charge procedure<\/b>. The tax liability is transferred to the recipient of the service.<\/span><\/li><li class=\"li2\"><b><\/b><span class=\"s1\"><b>Business clients based in Portugal:<\/b> The applicable Portuguese VAT (IVA) will be charged.<\/span><\/li><li class=\"li2\"><b><\/b><span class=\"s1\"><b>Clients outside the European Union:<\/b> Invoicing is made <b>net<\/b>, provided the service is tax-exempt under applicable law.<\/span><\/li><\/ul><p class=\"p2\"><span class=\"s1\">Payments are made via the payment methods offered in the booking system (e.g., Stripe, credit card).<br \/>For digital products, the invoice amount is due immediately.<br \/>For corporate clients, different payment terms may be agreed individually.<\/span><\/p><p class=\"p2\"><span class=\"s1\"><b>5. Cancellations and Rebookings<\/b><b><\/b><\/span><\/p><p class=\"p2\"><span class=\"s1\">a) <b>Group sessions (online\/offline)<\/b><br \/>Rebookings are possible up to <b>4 hours before the start<\/b>. In case of later cancellation or no-show, the booking expires and no refund will be made.<\/span><\/p><p class=\"p2\"><span class=\"s1\">b) <b>1:1 sessions (individual sessions)<\/b><br \/>Cancellations or rebookings are possible up to <b>24 hours before the start<\/b>. In case of later cancellation or no-show, the full fee will be charged, and no refund will be made.<\/span><\/p><p class=\"p2\"><span class=\"s1\">c) <b>Events, workshops, and retreats<\/b><b><\/b><\/span><\/p><ul class=\"ul1\"><li class=\"li2\"><span class=\"s1\">Cancellation up to <b>14 days before the start<\/b>: refund minus processing fee.<\/span><\/li><li class=\"li2\"><span class=\"s1\">Cancellation <b>13\u20137 days before the start<\/b>: 50% refund.<\/span><\/li><li class=\"li2\"><span class=\"s1\">Cancellation less than <b>7 days before the start<\/b> or no-show: no refund.<\/span><\/li><li class=\"li2\"><span class=\"s1\">Transfer of the ticket to another person is possible but must be communicated in advance.<\/span><\/li><li class=\"li2\"><span class=\"s1\">For retreats or special events with external partners (e.g., accommodation, catering), different cancellation policies may apply. These are specified in the respective event description or in the individual contract.<\/span><\/li><\/ul><p class=\"p2\"><span class=\"s1\">d) <b>Corporate bookings (Corporate Breathwork)<\/b><br \/>The individually agreed cancellation and payment terms apply as specified in the respective offer or contract.<\/span><\/p><p class=\"p2\"><span class=\"s1\"><b>6. Right of Withdrawal<\/b><br \/>For consumers, the statutory right of withdrawal applies in accordance with the <b>Withdrawal Policy<\/b>.<\/span><\/p><p class=\"p2\"><span class=\"s1\">The right of withdrawal is excluded or expires prematurely for:<\/span><\/p><ul class=\"ul1\"><li class=\"li2\"><span class=\"s1\">Digital content, once the execution has started and the client has expressly agreed.<\/span><\/li><li class=\"li2\"><span class=\"s1\">Services (sessions, programs, events), once the service has been fully provided and the client has expressly agreed.<\/span><\/li><li class=\"li2\"><span class=\"s1\">Individually created services (e.g., tailored coaching packages).<\/span><\/li><\/ul><p class=\"p2\"><span class=\"s1\">Business clients (B2B) have no right of withdrawal.<\/span><\/p><p class=\"p2\"><span class=\"s1\"><b>7. Health and Liability Waiver<\/b><b><\/b><\/span><\/p><ol class=\"ol1\"><li class=\"li2\"><span class=\"s1\">Participation in breathwork sessions is at the participant\u2019s own responsibility.<\/span><\/li><li class=\"li2\"><span class=\"s1\">Clients confirm prior to participation that they have read and accepted the <b>Health and Liability Waiver<\/b>.<\/span><\/li><li class=\"li2\"><span class=\"s1\">Breathwork does not replace medical or psychological treatment.<\/span><\/li><li class=\"li2\"><span class=\"s1\">Blooming Souls \u2013 Stefanie Geibel Haxel accepts no liability for health-related, psychological, or physical consequences, except in cases of intent or gross negligence.<\/span><\/li><\/ol><p class=\"p2\"><span class=\"s1\">The current Waiver can be accessed here: [Insert link]<\/span><\/p><p class=\"p2\"><span class=\"s1\"><b>8. General Liability<\/b><b><\/b><\/span><\/p><ol class=\"ol1\"><li class=\"li2\"><span class=\"s1\">No liability is accepted for slight negligence, except in the case of breaches of essential contractual obligations.<\/span><\/li><li class=\"li2\"><span class=\"s1\">No liability is accepted for indirect or consequential damages (e.g., loss of profit).<\/span><\/li><li class=\"li2\"><span class=\"s1\">Liability is in any case limited to the amount paid by the client.<\/span><\/li><\/ol><p class=\"p2\"><span class=\"s1\"><b>9. Contract and Communication Language<\/b><br \/>The contract language is German or English.<\/span><\/p><p class=\"p2\"><span class=\"s1\"><b>12.
